Terms of service

Last updated: 02.10.2026

1. Introduction

Welcome to Shopla (“Shoplà”, “we”, “us”, “our”), operated by Shoplà Schweiz AG, Voltastrasse 30, 8044 Zürich, Switzerland.

Shopla is an online product discovery platform that enables users to discover products offered by independent third-party merchants and to initiate purchases directly with those merchants.

Shoplà does not sell products, process payments, or conclude sales contracts on behalf of merchants.

Merchants who use the Shopla Ads app appoint Shoplà to advertise their shops on their behalf, as set out in section 15. This does not make Shoplà the seller of their products or a party to their sales

By accessing or using our website, you agree to these Terms of Service (“Terms”).

2. Our role as a platform

Shopla provides:

  • Curated product listings for discovery and comparison

  • Product detail pages displaying merchant-provided information

  • The ability for users to proceed to the respective merchant’s online store to complete a purchase

Shoplà operates as a multi-merchant platform and is not the seller of record for any products listed on the website. Shoplà does not act as a payment service provider or contracting party in transactions between users and merchants.

When you click a “Buy”, “Checkout”, or similar button, you proceed to the merchant’s website, where:

  • The purchase is completed

  • Payment is processed

  • A sales contract is concluded directly between you and the merchant

Shoplà is not a party to any transaction between customers and merchants.

3. Merchant responsibility

Each merchant is solely responsible for:

  • Product descriptions, images, and pricing

  • Product availability and stock

  • Order fulfillment and delivery

  • Taxes, duties, and shipping costs

  • Customer service

  • Returns, refunds, and warranty claims

  • Compliance with applicable laws and regulations

Shoplà reviews products prior to publication and makes reasonable efforts to display accurate merchant-provided information. However, Shoplà does not assume responsibility for the merchant’s performance of its obligations to customers.

4. Prices, payments, and checkout

Prices shown on Shopla are provided by merchants for informational purposes only.

The binding price, applicable taxes, shipping fees, and payment terms are determined exclusively on the merchant’s website at checkout.

All payments are processed directly by the merchant using their own payment providers.
Shoplà does not collect or process customer payments.

5. Returns, refunds, and warranty

Returns, refunds, and warranty claims must be handled directly with the merchant in accordance with the merchant’s own policies and applicable law.

Shoplà does not:

  • Accept returned products

  • Issue refunds

  • Handle warranty claims

Shoplà may, as a courtesy, provide merchant contact details or facilitate communication, but has no obligation to do so.

6. Product availability and accuracy

Product availability, pricing, and descriptions may change at any time and may not reflect real-time inventory.

Shoplà does not guarantee that:

  • Products are in stock

  • Prices are accurate at the time of purchase

  • Product descriptions are error-free

Any discrepancies must be resolved directly with the merchant.

7. Commission disclosure

Shoplà may receive a commission or other compensation from merchants for purchases that originate from the platform.

For merchants who use Shopla Ads, the plan fees, the ad spend and the commission are set out in section 15.6.

This compensation does not affect the price paid by customers, unless explicitly stated otherwise.

8. Intellectual property

All content on Shopla, including branding, layout, and platform software, is the property of Shoplà or its licensors.

Product images, descriptions, trademarks, and logos remain the property of their respective merchants or rights holders.

Merchants grant Shoplà a non-exclusive, worldwide license to display product information solely for the purpose of product promotion and discovery.

Merchants who use Shopla Ads also grant the licence in section 15.4, for ads on other platforms.

9. Prohibited use

You may not:

  • Use the platform for unlawful purposes

  • Attempt to bypass or interfere with redirects or tracking

  • Misuse product data or merchant content

  • Scrape, copy, or resell platform content without permission

Shoplà reserves the right to restrict or terminate access for violations.

10. Limitation of liability

To the maximum extent permitted by law, Shoplà shall not be liable for:

  • Any transaction between customers and merchants

  • Product defects, delays, or non-delivery

  • Losses resulting from inaccurate product information

  • Acts or omissions of merchants or third parties

For Shopla Ads, this includes the matters in sections 15.7 and 15.8: the advertising platforms' decisions and the results of advertising.

Shoplà’s liability, if any, is limited to damages caused by willful misconduct or gross negligence.

11. Indemnification

You agree to indemnify and hold harmless Shoplà from claims arising out of:

  • Your use of the platform

  • Transactions with merchants

  • Violation of these Terms or applicable laws

12. Termination

Shoplà may suspend or terminate access to the platform at any time if:

  • These Terms are violated

  • Use is abusive, unlawful, or misleading

Termination does not affect rights or obligations arising prior to termination.

13. Governing law and jurisdiction

These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules.

The exclusive place of jurisdiction is Zürich, Switzerland, unless mandatory consumer protection law provides otherwise.

14. Changes to these Terms

Shoplà may update these Terms from time to time.
The latest version will always be available on this page.

Continued use of the platform constitutes acceptance of the updated Terms.

15. Advertising on behalf of merchants (Shopla Ads)

15.1 The service

Merchants who install the Shopla Ads app on their Shopify store ("Ads merchants") can have Shoplà advertise their shop on Google (including YouTube), Meta (Facebook and Instagram), Pinterest and TikTok (the "advertising platforms"). Shoplà plans, creates, runs, adjusts and reports these ads (the "campaigns"), which lead to the merchant's pages on shopla.co. On the Circle plan, the campaigns promote the shops of a neighbourhood together; on the Forum and Arena plans, they follow the campaign briefs the merchant submits in the app.

15.2 Appointment and authority

By accepting these terms in the app, the Ads merchant appoints Shoplà to buy and manage advertising for its shop on the advertising platforms, in Shoplà's own name and for the merchant's account. For these campaigns, Shoplà may accept the advertising platforms' terms and policies on the merchant's behalf, and give them the confirmations they require from an agency, such as its authority to act for the merchant. The person who accepts in the app confirms that they may bind the merchant.

15.3 The merchant's responsibilities

Section 3 applies to everything the campaigns show. In addition, the Ads merchant confirms that:

  1. it may use, and let Shoplà use, the content it provides or names: texts, images, logos, social media accounts and posts;
  2. its products, offers and claims may be advertised under Swiss law and under the advertising platforms' policies, including any authorisation a restricted product needs;
  3. its prices, stock and shop details on shopla.co are accurate, and it tells Shoplà without delay of changes that affect a running campaign.

15.4 Licence for the ads

The Ads merchant grants Shoplà a non-exclusive, worldwide, royalty-free licence, for as long as its campaigns run, to use, reproduce, adapt (for example resize, crop, translate or combine) and publish its shop name, logo, images, product information and the social media accounts or posts it names, in ads on the advertising platforms and in previews in the app. This includes neighbourhood ads that show several shops together, and the variations the advertising platforms' own tools create from this material. Ads may stay visible after a campaign ends where the law or an advertising platform keeps them in an ad library or archive.

15.5 Ad accounts and identity

Shoplà runs the campaigns in its own ad accounts and pays the advertising platforms. The ads appear under Shoplà's name, or also under the merchant's where a platform offers co-branded ads (such as Meta's partnership ads or TikTok's Spark Ads) and the merchant grants the access they need. An Ads merchant can name its own accounts in the app; the ads run under Shoplà until the merchant has granted that access, and again after it withdraws it.

15.6 Budget, fees, billing and reports

  1. Shopify bills the plan the Ads merchant chooses in its Shopify admin, monthly, together with the usage charges below, at the prices shown in the app and its App Store listing.
  2. The plan price is the merchant's monthly ad budget. Shoplà spends it on the merchant's campaigns at cost, without a margin; on Circle, it is pooled with the budgets of the other shops in the neighbourhood. Budget not spent in a month carries over to the next.
  3. On Forum and Arena, the merchant can add an extra ad budget in the app. The part Shoplà spends is charged at cost, as usage.
  4. Shoplà's compensation is the commission on every order placed through the merchant's page on shopla.co (section 7), whatever brought the buyer there: one of the merchant's ads, a direct or returning visit, or a search. It is a percentage of the order's net sales, set by the plan and lowered by the merchant's referral steps, charged once 14 days have passed after payment, after refunds and cancellations in that time. An order is credited to a campaign when the buyer's last ad click in the 30 days before it was on one of the merchant's ads; the commission is the same either way.
  5. The app shows, per month, each campaign's budget, spend, carry-over, impressions and clicks as Shoplà enters them from the advertising platforms, and the orders credited to each campaign and those placed without an ad click, with their net sales and commission.

15.7 The advertising platforms' rules

The advertising platforms review, approve, reject, limit and deliver ads under their own terms and policies, and may change their products and targeting options at any time. Shoplà may adapt, pause or decline an ad or a targeting choice to comply with them or with the law; the app shows where a platform cannot target an audience as chosen. Shoplà is not responsible for the advertising platforms' decisions, outages or changes.

15.8 No guaranteed results

Shoplà does not guarantee any number of views, clicks, visits or orders, nor that ads reach only the audience the merchant chose. The advertising platforms decide the delivery and estimate people's age, gender and location, and the figures shown before a campaign are estimates.

15.9 Information shared with the advertising platforms

The advertising platforms may show Shoplà as the advertiser or the payer of the ads. Shoplà gives them the material for the ads (15.4) and, where they or the law require it, the merchant's name and details, for example as the business on whose behalf an ad runs. Shoplà does not share the merchant's customer data with the advertising platforms unless the merchant agrees to it separately.

15.10 Pausing campaigns

Shoplà pauses a merchant's own campaigns while it has no Forum or Arena plan in force. It may also pause a campaign when the merchant's content or offer breaches this section or an advertising platform's policies, or when a platform requires it, and tells the merchant why in the app or by e-mail.

15.11 End of the appointment

The appointment ends for a campaign when the merchant or Shoplà ends it in the app, and for all campaigns when the merchant's plan ends or it uninstalls the app. Shoplà then stops the ads concerned, as a rule on the same day, and settles the last month. When the plan ends or the merchant uninstalls the app, the commission on the orders placed before then is charged at once, even where their 14 days are still running.

15.12 Changes to this section

Unlike section 14, a change to this section applies to an Ads merchant once it has accepted the changed section in the app, which it is asked to do at its next campaign submission.
